Terms of Service

Please read these terms carefully before engaging our services. By using our services, you agree to be bound by the terms and conditions outlined below.

Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms apply to all clients, visitors, and users of Majestic Accounting & Bookkeeping Services.

Services Provided

Majestic Accounting & Bookkeeping Services provides professional financial and advisory services including but not limited to:

  • Accounting and bookkeeping services
  • Business setup and PRO services
  • CFO and financial advisory services
  • Corporate finance and M&A advisory
  • Corporate tax compliance and planning
  • VAT registration, filing, and compliance
  • IT services and solutions
  • Management consultancy services

The scope, deliverables, timelines, and fees for each engagement shall be detailed in a separate engagement letter or service agreement signed by both parties. These Terms of Service govern the general relationship between Majestic and its clients.

Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate, complete, and timely information required for your engagement
  • Inform us promptly of any changes in your business circumstances that may affect our services
  • Ensure all documents and records provided to us are genuine and legally obtained
  • Comply with all applicable UAE laws, regulations, and tax obligations
  • Appoint an authorised representative to liaise with our team for operational matters
  • Review and approve all deliverables within the timeframes specified in your engagement letter
  • Settle all invoices within the agreed payment terms

Professional Standards & Independence

Our Chartered Accountants and professional staff adhere to the ethical standards and guidelines set by the Institute of Chartered Accountants of India (ICAI) and other applicable regulatory bodies. We maintain professional independence and objectivity in all engagements.

  • We will not undertake any engagement that compromises our professional independence
  • Any potential conflicts of interest will be disclosed to you prior to commencement
  • We reserve the right to decline or terminate engagements that conflict with our professional obligations
  • Our advice is based on the information provided to us and applicable laws at the time of engagement

Fees & Payment Terms

Our fees are determined based on the nature, complexity, and scope of services required. Specific fees will be outlined in your engagement letter or service agreement.

  • Invoices are payable within 30 days of the invoice date unless otherwise agreed
  • Late payments may attract interest at the rate of 1.5% per month on outstanding balances
  • We reserve the right to suspend services for accounts with overdue payments
  • All fees are exclusive of VAT, which will be charged at the applicable rate
  • Disbursements and out-of-pocket expenses incurred on your behalf will be billed separately
  • Retainer fees, where applicable, are non-refundable once the engagement has commenced

Confidentiality

We are committed to maintaining the strictest confidentiality of all client information. All information obtained during the course of our engagement will be treated as confidential and will not be disclosed to any third party without your prior written consent, except:

  • Where required by law, regulation, or court order
  • Where disclosure is required by a regulatory or professional body
  • Where information is already in the public domain through no breach by us
  • To our professional advisors who are also bound by confidentiality obligations
  • To government authorities such as the FTA as required under UAE tax law

Intellectual Property

All intellectual property rights in the methodologies, tools, templates, and working papers used in delivering our services remain the property of Majestic Accounting & Bookkeeping Services. Deliverables prepared specifically for your engagement are provided for your use only and may not be reproduced, distributed, or disclosed to third parties without our prior written consent.

  • Our reports and deliverables are prepared solely for the purpose stated in the engagement letter
  • We accept no liability for reliance on our reports by any third party
  • Our website content, branding, and materials are protected by applicable intellectual property laws
  • You may not use our name or logo without our prior written permission

Limitation of Liability

To the fullest extent permitted by UAE law, Majestic Accounting & Bookkeeping Services shall not be liable for:

  • Any indirect, incidental, special, or consequential loss or damage
  • Loss of profit, revenue, business, or anticipated savings
  • Losses arising from reliance on inaccurate or incomplete information provided by the client
  • Delays or failures in performance resulting from circumstances beyond our reasonable control
  • Actions taken by regulatory authorities or government bodies

Our total aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you for that specific engagement in the preceding 12 months.

Termination of Services

Either party may terminate an engagement by providing written notice as specified in the engagement letter. Upon termination:

  • All outstanding fees for work completed up to the termination date become immediately payable
  • We will return all original documents and records provided by you
  • We will retain copies of working papers and files as required by professional standards
  • Any prepaid fees for services not yet rendered will be refunded on a pro-rata basis
  • We reserve the right to terminate services immediately in cases of non-payment or breach of these terms

Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

  • We encourage resolution of disputes through good-faith negotiation in the first instance
  • If negotiation fails, disputes may be referred to mediation before formal legal proceedings
  • All formal legal proceedings shall be conducted in the courts of Dubai, UAE
  • These terms shall be interpreted in accordance with UAE federal and Dubai local laws

Amendments to Terms

Majestic Accounting & Bookkeeping Services reserves the right to update or modify these Terms of Service at any time. We will provide reasonable notice of significant changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes your acceptance of the revised terms. We recommend reviewing these terms periodically.
